Integrity Program and Code of Ethics & Professional Conduct

Corruption is a problem that affects everyone. Governments, citizens, and companies suffer its consequences every day. Numerous laws around the world, such as the U.S. Foreign Corrupt Practices Act (FCPA), the UK Bribery Act, and Brazil’s Lei Anticorrupção or Lei da Empresa Limpa, established the administrative and civil liability of legal entities for harmful acts committed in their interest or benefit against public administration. The approval of these laws sparked significant global attention on the fight against corruption and has driven intense debate in the business sector, leading companies to progressively adopt anti-corruption measures that may be recognized as mitigating factors in potential accountability processes.
At Quanam, this set of measures constitutes our Integrity Program, which includes guidelines designed to build and enhance policies and tools for the prevention, detection, and remediation of harmful acts against our Clients, and especially against public administration.

Our Integrity Program rests on five pillars:

The Quanam Integrity Program is composed of internal mechanisms and procedures for integrity, auditing, and whistleblowing, with guarantees of protection, and the effective application of our Code of Ethics & Professional Conduct, along with our policies, standards, and guidelines. Its purpose is to prevent, detect, and remedy deviations, fraud, irregularities, and unlawful acts, both in the market at large and, in particular, against public administration.

Quanam has always operated in strict compliance with the law. The creation and continuous updating of our Integrity Program represents a systematic effort to integrate anti-corruption measures into existing frameworks, sending a categorical and unequivocal message of our vocation for ethical conduct in our profession and activities, with zero tolerance for misconduct.

Compliance & Integrity Committees

On May 7, 2021, José C. Nordmann was appointed as Quanam’s Chief Integrity & Compliance Officer. In agreement with the respective local Boards, the functions of the Compliance & Integrity Committee were distributed across four country-based committees:

Each committee consists of three executives at the level of Supervisor, Manager, or Director, who are responsible for developing, updating, applying, and monitoring the Quanam Integrity Program in their territory during their three-year term.

In accordance with the Integrity Program, committee members alternate in daily interventions with the participation of at least two members, issuing Executive Recommendations that must be communicated in writing and signed by at least two members.

Recommendations to Senior Management regarding modifications to the Integrity Program and decisions on Disciplinary Sanctions must be adopted with the participation and vote of all three members, preferably unanimously. Modifications to the Integrity Program must be approved by the Partners’ Board, based on a recommendation from the Committee.

These committees ensure the effective implementation of the Integrity Program across all Quanam territories, with sufficient financial, material, and human resources. They are empowered to coordinate with operational, staff, and administrative areas of local Quanam entities, directly responsible for executing dissemination, training, whistleblowing channels, and other procedures, guaranteeing alignment with the Program’s standards.

The committees also have autonomy to make decisions and implement the actions required for the proper functioning of the Integrity Program, and authority to propose necessary changes to the Partners’ Board. While such changes may require financial investment, additional workload, or modified routines, it is Quanam’s policy that the Partners’ Board and Senior Management support corrections that mitigate significant risks, even if seen as costly.

Finally, the committees are responsible for ensuring that indications of irregularities are effectively investigated, even if involving other areas or executives. If necessary, they may report directly to Senior Management in their territory or, through it, to the Partners’ Board — the highest governing body of Quanam.

To guarantee the independence of those working in integrity or related areas, Quanam’s policy states that members of the Compliance & Integrity Committees may only be subject to disciplinary measures decided by the Partners’ Board.

Reporting Channels

In line with our transparency policy, Quanam provides widely accessible channels for anyone to report potential violations of our ethics and integrity standards. Employees, third parties, and business partners within our ecosystem can access these channels. The simplest and most direct method is to send an email to the account corresponding to your territory:

Each email received in these accounts is automatically redirected to the members of the local Compliance & Integrity Committee in that territory (see “Compliance & Integrity Committees”).

It is important to note that this channel is available not only to all Quanam employees in every territory, but also to third parties and the general public. Anyone wishing to file a report can do so without restrictions.

To ensure the effectiveness of this channel, Quanam’s mandatory rules guarantee the protection of good-faith whistleblowers. This includes the acceptance of anonymous reports from unidentified email accounts, and the strict prohibition of any form of retaliation against whistleblowers. Our rules also ensure confidentiality procedures to protect those who, although identified to the Compliance & Integrity Committee, wish to remain undisclosed publicly.

Integrity training

Investment in communication and training is essential for the effectiveness of Quanam’s Integrity Program. The values and main guidelines of the Integrity policies adopted by Quanam, ratified and reinforced in the Code of Ethics & Professional Conduct, are accessible on this website and widely communicated across all levels of our organization. Executives, employees, and, where appropriate, third parties responsible for applying these policies must be properly trained.

The Training Plan on the content and practical aspects of Integrity policies requires that all employees attend at least one training session—either during the Induction Sessions on Quanam’s Culture for new employees, or in a special session created for those who joined before the Integrity Program was established. The Chief Integrity & Compliance Officer (CI&CO) must ensure at least one formal training per year, coordinating with the local Compliance & Integrity Committees to guarantee participation of all employees directly involved in commercial activities, project proposals, and interactions with public agencies and private companies. The training schedule seeks to onboard new employees and keep previously trained employees updated.

Given the nature of Quanam’s activities and the professional level of most of our employees, self-training—through the reading of documents published on our website, along with discussions on ethics and integrity with supervisors—constitutes a fundamental pillar of our Training Plan.

The objective is for everyone at Quanam to receive the necessary information about the values and general guidelines of our Integrity Program, enabling them to understand how and when to apply our Integrity policies and rules.
